1. Acceptance of Terms

By accessing or using the Thrive AI Partners website (the "Site") or engaging with our services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Site or services. These Terms apply to all visitors, clients, and any other parties who access or use our services.

2. Services

Thrive AI Partners provides done-for-you AI automation services including, but not limited to, workflow automation, AI chatbot development, outbound lead generation systems, and AI-generated content creation. The scope, deliverables, timeline, and pricing of services are defined in a separate written agreement or proposal provided to each client prior to commencement of work.

3. Client Responsibilities

By engaging our services, you agree to:

• —Provide accurate, complete, and timely information necessary for us to deliver our services.
• —Grant appropriate access to tools, platforms, and accounts required for integration work.
• —Review and approve deliverables within agreed timelines.
• —Use our services and any AI-generated outputs in compliance with all applicable laws and regulations.
• —Not use our services for any unlawful, deceptive, or harmful purposes.

4. Payment Terms

Payment terms are outlined in each individual service agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Failure to pay on time may result in suspension or termination of services. All fees are non-refundable unless explicitly stated otherwise in a written agreement.

5. Intellectual Property

Upon full payment of all applicable fees, clients receive a license to use the deliverables produced by Thrive AI Partners for their intended business purposes. Thrive AI Partners retains ownership of all proprietary methodologies, frameworks, templates, and underlying systems used to produce deliverables. Nothing in these Terms transfers ownership of our intellectual property to the client.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the engagement. This obligation survives the termination of any service agreement. We will not disclose your business information, data, or strategies to third parties without your prior written consent, except as required by law.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. While we make every effort to deliver high-quality results, we do not guarantee specific business outcomes, revenue figures, lead volumes, or other performance metrics. Results vary based on market conditions, client cooperation, and other factors outside our control. We expressly disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Thrive AI Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amounts paid by you for the services in the three months preceding the claim.

9. Termination

Either party may terminate a service engagement with 30 days written notice, unless otherwise specified in a service agreement. Upon termination, all outstanding fees become immediately due. We reserve the right to terminate services immediately if a client violates these Terms or engages in conduct we deem harmful or unlawful.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in accordance with applicable rules.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our Site or services after such changes constitutes acceptance of the revised Terms.
